Terms of Service

Effective April 7, 2026

These Terms of Service ("Terms") govern your use of Settled, operated by RicardoHQ LLC("we," "us," or "our"). By creating an account or using Settled, you agree to these Terms. If you do not agree, do not use the service.

1. What Settled Does

Settledis a contract management platform that allows service professionals ("vendors") to create, send, and collect e-signatures on service agreements. We provide tools, templates, and delivery infrastructure. We do not draft contracts on your behalf, provide legal advice, or act as your attorney.

2. Not Legal Advice

Settled is not a law firm and does not provide legal advice. The contract templates, clause library, and pre-filled language available in Settled are general-purpose starting points provided for informational purposes only. They are not a substitute for advice from a licensed attorney. You are responsible for ensuring your contracts are appropriate and legally sufficient for your specific situation, jurisdiction, and business.

If you have questions about the enforceability of a contract or need contract language tailored to your specific circumstances, consult a qualified attorney.

3. Eligibility

You must be at least 18 years old and capable of forming a legally binding contract to use Settled. By using this service, you represent that you meet these requirements.

4. Your Account

  • You are responsible for maintaining the security of your account credentials.
  • You are responsible for all activity that occurs under your account.
  • You must provide accurate information when creating your account.
  • You may not share your account with others or use another person's account.
  • Notify us immediately if you suspect unauthorized access to your account.

5. Subscriptions and Billing

  • Settled offers a free tier and paid subscription plans. Paid plans are billed through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis.
  • Subscription fees are non-refundable except where required by law. If you cancel, you retain access through the end of your billing period.
  • We reserve the right to change pricing with at least 30 days' notice. Continued use after a price change constitutes acceptance.
  • Free tier usage is limited to 3 contracts per calendar month. We may enforce or adjust these limits at any time.

6. Your Content and Contracts

  • You own the contracts and content you create in Settled. We do not claim ownership of your contracts, client data, or business information.
  • You grant us a limited license to store, process, and transmit your content solely to provide the service.
  • You are solely responsible for the accuracy, legality, and appropriateness of the contracts you create and send to clients.
  • You must have lawful basis to share your clients' personal information with Settled(e.g., to fulfill a service agreement).

7. Electronic Signatures

Settled facilitates electronic signatures in compliance with the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN Act) and the Uniform Electronic Transactions Act (UETA). Electronic signatures collected through Settled are legally valid for service agreements in the United States.

Signers provide explicit consent before signing. Settled captures and stores IP address, user agent, timestamp, and consent confirmation to create a legally defensible audit trail. You are responsible for verifying that e-signatures are valid and enforceable in your jurisdiction for your specific use case.

8. Prohibited Uses

You may not use Settled to:

  • Create or send contracts for illegal services or purposes
  • Impersonate another person or business
  • Collect signatures on documents that misrepresent their content
  • Spam or harass clients with unwanted communications
  • Attempt to circumvent subscription limits or access controls
  • Reverse engineer or copy the Settled platform

9. Service Availability

We strive to keep Settled available and reliable, but we do not guarantee uninterrupted access. We may perform maintenance, push updates, or experience outages. We are not liable for losses resulting from service unavailability.

10. Disclaimer of Warranties

Settledis provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that contracts created with Settled will be legally enforceable in your jurisdiction, that the service will be error-free, or that it will meet your specific business or legal requirements.

11. Limitation of Liability

To the maximum extent permitted by law, RicardoHQ LLC is not liable for any indirect, incidental, special, or consequential damages arising from your use of Settled, including but not limited to disputes arising from contracts you create, loss of business, or failed signatures. Our total liability to you for any claim shall not exceed the amount you paid to us in the 12 months prior to the claim.

12. Termination

You may close your account at any time by contacting us. We may suspend or terminate accounts that violate these Terms. Upon termination, your right to use Settled ends, but these Terms otherwise survive termination.

13. Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Florida, and you consent to personal jurisdiction there.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you by email or in-app notice at least 14 days before material changes take effect. Continued use of Settled after that date constitutes acceptance of the updated Terms.
